Requirements to Restore your Anguilla Company

An application for the restoration of an Anguilla company must be made within 20 years of the date of the dissolution of the company.

Before restoring a company, the Registrar requires the payment of all fees and penalties that:

  • were due from the company at the date of its dissolution.
  • would have been payable up to the date of the application for reviving the company as if the company was never dissolved.

Restoration by Registrar / Court

We will apply to the Registrar and the Anguilla Financial Services Commission for restoration if the company was dissolved due to:

  • The registered agent ceasing to act without a replacement
  • Articles of dissolution being drawn up
  • Failure to submit the Annual Return or pay the annual government fee
  • Not commencing business within 3 years of incorporation
  • Ceasing to carry on business or not being in operation

The application must be made by a shareholder or director. The Registrar will restore the company only if it can be shown that, at the time of dissolution, the company:

  • Was still in business
  • Had property not disposed of

Upon Approval

  • The Registrar will publish a Legal Notice in the Gazette
  • Issue a Certificate of Restoration
  • Restore the company’s name to the Registry

Any property vested in the Crown will be returned to the company upon restoration.
