Filings by the existing Seychelles Registered Agent
The outgoing Registered Agent notifies the Registrar of the change by submitting the following documents:
- Letter from the outgoing Registered Agent informing of the change of Registered Agent
- A certified copy or extract of the resolution giving effect to the change
- A declaration of consent to act from the incoming Registered Agent
- The amended and restated Memorandum and Articles and the fee
The change of Registered Agent is straightforward although, clients trying to avoid the payment of the previous company renewal fees will encounter difficulties.
Filings by the new Seychelles Registered Agent
A Seychelles IBC may amend its Memorandum to change its Registered Agent in accordance with the procedures and requirements of section 169 of the Act. An IBC can either choose for the required filings with the Registrar to be done by the outgoing Registered Agent or the incoming Registered Agent.
The incoming Registered Agent notifies the Registrar of the change by submitting the following documents:
- A covering letter from the prospective Registered Agent
- A consent letter from the old Registered Agent (by which it consents to the change of Registered Agent and to the prospective new Registered Agent filing the extract resolution)
- A certified copy or extract of the resolution giving effect to the change
- The amended and restated Memorandum and Articles and the fee
Seychelles Registered Agent – Part IV Seychelles Company Act 1994
- A company incorporated under this Act shall at all times have a registered office in Seychelles
- The directors of the company may change the address of the registered office of the company, which change shall be notified to the Registrar
- All applications made and all documents required to be submitted to the Registrar under this Act by a company incorporated under this Act shall be made through the registered agent who shall verify in writing the signature of any person appearing on the application or document and the registered agent may accept service on behalf of the company and any service accepted by the registered agent shall be deemed to have been accepted by the company
Seychelles Registered Agent Duties
Apart from lending his office address to be used as the legal address of your company, the Registered Agent is also legally responsible for safe custody and update of certain corporate documents – namely, the Memorandum and Articles of Association, the Register of Shareholders or a copy, the Register of Directors or a copy, copies of all resolutions, notices and filings produced by the company during its course of existence.
Unless the directors of the company have resolved otherwise, the Registered Agent is also the custodian for all Minutes of the Meetings and Resolutions of Shareholders, and all Minutes of Meetings and Resolutions of Directors. It is the duty of the Registered Agent to keep these documents up-to-date and available for inspection by the directors, shareholders and owners of the IBC.
The Registered Agent acts as the official intermediary between the offshore company and the Seychelles Government, in particular the payment of the Government renewal taxes.
All Seychelles IBC Companies are required to maintain accounting records for the last 7 years (January 2015 onwards), and provide their Seychelles Registered Agent with copies of the accounting records.
Seychelles Accounting deadlines:
- Accounting records relating to transactions or operations in the first half of the year (January to June) must be kept in Seychelles by 31st July, and every year thereafter
- Accounting records relating to transactions or operations in the second half of the year (July to December) must be kept in Seychelles by 31st January, and every year thereafter
Transfer Seychelles IBC Registered Agent
Please email us with the name of your Seychelles company, we will initially undertake a Company Search, your company must be in good standing, for us to prepare the Director’s Resolution and contact the current Registered Agent.
A written request is sent to the current Registered Agent, instructing them to resign and pass the administration of your IBC company to our Licensed Registered Agent in the Seychelles.
After the change we can obtain a Certificate of Good Standing or a Certificate of Incumbency.
