Georgia offers a business environment with high levels of business confidentiality as accounting and reporting documents are generally not available for public inspection. There is no requirement to conduct annual audits and there are many accounting simplifications and tax exemptions if your company meets certain requirements.

Georgia Company Search Report

We can conduct searches at the Chamber of Commerce & Industry and the Public Registry on any registered company.

The contents of a Georgia company search report will include:

Company Name
Company Registration Number
Date of Incorporation
Company Status – Active
Registered Office Address
Company Details – not from the registry – if available

Annual Return

There is no requirement to file annual returns for Georgian companies.

Micro & Small Business

Certain companies may apply to be considered a ‘small’ business which offers certain advantages regarding accounting standard and tax exemptions.

Small Business

Small business status will be granted if all of the following conditions are met:

Annual gross income does not exceed GEL 100,000 (€41,460)
Inventory balance book does not exceed GEL 150,000 (€62,190)
Company is not a registered VAT payer
Does not undertake activities prohibited for small businesses – defined by the government
Uses a cash register

Certificate of Incorporation

The Georgian Certificate of Incorporation is issued by the Chamber of Commerce & Industry and we can provide a registry copy of the company incorporation certificate which includes the company name, company number, date of incorporation and states that a company is incorporated under the relevant companies acts. Certificate of Good Standing

A Certificate of Good Standing issued by Public Registry, confirms the company has a status of Good Standing with the registry and is up to date with the statutory filing requirements.

Memorandum of Association

We can provide copies of the Memorandum of Association which includes, the company name, registered office, registered agent, business activities, share capital, objects and powers of the Georgian company.

Georgia Company Credit Reports

With a Georgian Company Credit Report we conduct an investigation on the target company, include the latest information on the company held by the Public Registry and credit recommendations are included, where financial data has been filed.

Directors & Shareholders

Companies have a legal obligation to maintain certain company registers, we can provide details of the registered company directors and shareholders for Georgian companies.

A Georgian LLC can be incorporated with a single corporate or individual shareholder. A Georgian LLC can be entirely foreign owned.
